These Terms & Conditions govern the use of this website operated by First Quality Distributor Services, Inc. (“FQDS,” “we,” “our,” or “us”). By accessing this website, submitting a quote request, or communicating with us regarding commercial supply products, you agree to the terms outlined below.

If you do not agree with these Terms & Conditions, please do not use this website or submit a quote request.

1. Website Use

This website is intended for businesses and commercial buyers seeking wholesale cleaning, maintenance, paper, laundry, automotive, and chemical supply options in Miami and surrounding areas. FQDS is not a retail cleaning supply store and does not focus on household, residential, or small one-time purchases.

2. Quote-Based Purchasing

Product prices are not listed online because pricing may depend on product type, supplier availability, requested quantity, order volume, delivery location, and fulfillment requirements.

Submitting a quote request through our website, product quote cart, Mixed Chemical Order form, or contact form does not create a binding purchase agreement. Orders are finalized only after review, confirmation, payment terms, and mutual acceptance by FQDS and the customer.

3. Minimum Order Requirements

FQDS operates under a commercial volume purchasing model. Minimum order requirements may vary by product category, supplier rules, delivery area, and availability.

Chemical Products: typically require a minimum of one pallet or one 55-gallon drum, depending on the product format.
Mixed Chemical Orders: require a minimum of 50 total units using approved liquid chemical products.
Commercial Paper Products: require a minimum of 2 pallets. Paper products are quoted separately and are not included in Mixed Chemical Orders.
Small retail-style orders: individual cases, household purchases, and small one-time requests may not be processed.

4. Product Information and Availability

We strive to keep product descriptions, images, categories, and availability information accurate. However, product images, packaging, descriptions, availability, minimums, supplier requirements, and delivery options may change without prior notice.

All quote requests are subject to product availability, supplier confirmation, delivery eligibility, and final review by FQDS.

5. Pricing, Taxes, and Payment Terms

All prices provided by FQDS through a quote are subject to availability and may change without prior notice unless otherwise stated in writing.

Quoted prices do not include tax unless specifically stated.
Customers with a valid Resale Certificate must provide it before invoicing to avoid applicable sales tax.
If a valid Resale Certificate is not provided, applicable taxes may be added to the invoice.
Payment is required in advance unless otherwise approved in writing.
Accepted payment methods may include Zelle or bank transfer.
Orders are not processed until payment and required documentation are confirmed.

6. Delivery and Fulfillment

Delivery options are coordinated based on product type, supplier requirements, order size, delivery area, and the customer’s commercial receiving location. Delivery availability is not guaranteed until reviewed and confirmed by FQDS.

Some orders may qualify for supplier-coordinated delivery depending on order value, location, and supplier rules. Other orders may require customer-arranged pickup, freight, or delivery coordination.

7. Customer Responsibilities

Customers are responsible for providing accurate business information, delivery details, ZIP Code, product selections, quantities, contact information, resale documentation when applicable, and any receiving requirements needed to evaluate or fulfill a quote request.

Customers must ensure that their commercial location is able to receive pallets, drums, or larger commercial deliveries when applicable.

8. Returns & Warranty – Local B2B Orders

Products are sold for professional and commercial use. Customers must follow all product labels, safety instructions, SDS documentation, and applicable handling requirements.

Limited Warranty: locally delivered items should match the confirmed order and be free of visible defects at the time of delivery. Any applicable manufacturer warranty is passed through when available.
Inspection at Delivery: customers must inspect products upon delivery before signing or accepting the order. Visible damage or shortage should be documented immediately with photos.
Visible Damage or Shortage: claims must be reported within 48 hours of delivery.
Concealed Manufacturer Defects: claims must be reported within 5 calendar days with photos, lot/batch information when applicable, and original packaging retained for review.
Final Sale: all sales are final once shipped or delivered, except where required by law, due to FQDS error, or due to a verified manufacturer defect approved through written authorization.
Opened Chemical Products: returns of opened chemical or cleaning products are not accepted.

9. Returns & Claims – Customer-Arranged Freight

For orders where the customer arranges freight, pickup, or third-party transportation, risk of loss may transfer once the products are released to the customer, carrier, freight forwarder, or designated pickup representative.

Transit damage or shortage should be handled through the customer’s carrier or freight provider.
FQDS may assist with documentation when notified in a timely manner.
Unauthorized returns may be refused.
Shipping, freight, pickup, or delivery costs are non-refundable unless the issue is solely due to FQDS error and pre-authorized in writing.
Any approved remedy may be limited to replacement, credit, or adjustment for the affected items only, at FQDS discretion.

10. Intellectual Property

All content on this website, including text, graphics, logos, images, layout, product descriptions, and design elements, is the property of First Quality Distributor Services, Inc. or used with permission. Content may not be copied, modified, republished, or reused without prior written permission.

11. Limitation of Liability

This website is provided “as is” without warranties of any kind. To the maximum extent permitted by law, FQDS is not liable for indirect, incidental, special, consequential, or punitive damages resulting from use of the website, reliance on website content, product availability changes, delivery issues, supplier delays, or quote request outcomes.

12. External Links

This website may include links to third-party websites, tools, forms, or services. FQDS is not responsible for the content, policies, security, or practices of third-party websites or service providers.

13. Changes to These Terms

We reserve the right to update or modify these Terms & Conditions at any time. Updates will be posted on this page with the revised date. Continued use of the website after changes are posted indicates acceptance of the updated terms.
